1. Introduction

1.1 Please read these Terms of Use ("Terms") carefully before using this website ("Site") or purchasing from Kohinoor Diamonds. By accessing or browsing the Site, or by placing an order online, in our showroom, or by phone, you accept and agree to these Terms, together with our Privacy Policy, Refund & Return Policy, and Shipping Policy. If you do not agree, please do not use the Site. You certify that you are 18 years of age or older and have the legal authority to enter into these Terms.

1.2 Kohinoor Diamonds Inc  ("Kohinoor Diamonds," "we," "us," "our") TM is a family-owned fine jewelry retailer serving Houston since 2005, with a showroom located at 5901 Hillcroft St, Suite C1, Houston, TX 77036. We operate both our showroom and this Site, and these Terms govern your use of the Site and your dealings with us through it.

1.3 We may revise these Terms at any time. Your continued use of the Site after any change means you accept the updated Terms, so please review this page periodically.

2. Our showroom and website

2.1 Kohinoor Diamonds is a full-service jewelry showroom. Many of our diamonds and finished pieces are best seen in person, and we warmly invite you to visit us at 5901 Hillcroft St, Suite C1, in Houston's Mahatma Gandhi District. Our showroom is open Wednesday through Sunday, 12:00 PM to 6:00 PM. We recommend booking a private viewing or consultation in advance by calling (713) 334-8700; showroom hours may change on holidays or for private appointments.

2.2 This Site is an extension of our showroom. It lets you browse our collections, learn about our diamonds and craftsmanship, place orders online, and arrange to view pieces or begin a custom design in person. Some items are offered for viewing by appointment rather than immediate online checkout; where a product is marked for viewing or inquiry, please contact us to arrange a visit or purchase.

2.3 We offer custom and bespoke jewelry design, including custom engagement rings. Custom work begins with a consultation, and the specifications, timeline, and price are confirmed with you before we proceed. Because custom pieces are made to your specifications, they may be non-returnable or subject to different terms, as set out in our Refund & Return Policy.

3. Products, availability, and pricing

3.1 We offer fine jewelry including diamond engagement rings, rings, earrings, necklaces, and bracelets, primarily in 18K gold, along with custom design services. Products are available while supplies last, and because many pieces are one-of-a-kind or made in limited quantities, an item shown on the Site may sell in our showroom or online before your order is confirmed.

3.2 We make every effort to display our products, colors, diamond grades, and measurements as accurately as possible. However, what you see depends on your device and screen, so we cannot guarantee that every display is completely accurate. For an exact look at any piece, we invite you to view it in our showroom or request additional photos. Where we describe a diamond's color, clarity, or certification (for example, GIA), those details are provided in good faith, and we are glad to show you the grading report for any certified stone.

3.3 Prices are shown in U.S. dollars and may change without notice, and may differ between promotions. In the rare event a product is listed at an incorrect price, we reserve the right to cancel or refuse any order placed at that price, whether or not the order has been confirmed. We reserve the right to limit quantities, discontinue any product, and correct errors at any time.

4. Orders and purchases

4.1 Your submission of an online order is an offer to purchase, subject to our acceptance. A confirmation email acknowledges that we received your order; it does not by itself constitute acceptance. We may accept or decline any order at our discretion, including orders that appear fraudulent or that we are unable to fulfill.

4.2 Purchases made in our showroom are completed at the time of sale in accordance with the terms provided to you at that time.

4.3 Returns, exchanges, repairs, and refunds are governed by our Refund & Return Policy. Shipping and delivery of online orders are governed by our Shipping Policy. In-store pickup of online orders may require a valid photo ID and, where applicable, the payment card used.

4.4 You agree to provide current, complete, and accurate information for all purchases and accounts.

5. User content

5.1 Any content you post to the Site or submit to us — including reviews, photos, comments, and other materials ("User Content") — remains yours. You continue to own it and may use it however you choose.

5.2 By posting User Content, you grant Kohinoor Diamonds a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, modify, publish, display, and distribute that content in connection with our business, including on the Site and on our social media pages (such as Facebook and Instagram), without compensation to you.

5.3 You represent that you own or have the right to post your User Content, and that it does not violate the privacy, publicity, copyright, trademark, or other rights of any person or company.

5.4 You are solely responsible for the User Content you post. You may not post anything unlawful, threatening, defamatory, obscene, misleading, or otherwise objectionable. We do not necessarily review User Content before it appears and are not responsible for its accuracy. We reserve the right to remove any User Content at any time, for any reason or no reason.

6. Intellectual property rights

6.1 The Site and all of its content — including text, images, photographs, videos, jewelry designs, graphics, logos, product and brand names, and their selection and arrangement (the "Site Content") — are owned by or licensed to Kohinoor Diamonds and are protected by copyright, trademark, and other laws. All rights reserved.

6.2 You may use the Site for your personal, non-commercial use only. Except for your own User Content, no part of the Site Content may be copied, reproduced, republished, downloaded, distributed, or sold, in whole or in part, without our prior written permission. Data mining, scraping, robots, and similar extraction methods are prohibited. You may not resell any item purchased from us as if authorized by us.

6.3 "Kohinoor Diamonds" and our logos and marks (collectively, "Trademarks") may not be used, copied, or imitated in any way likely to cause confusion, or as part of any other trademark or domain name, without our prior written permission. Our original jewelry designs may not be copied or reproduced without permission.

7. Disclaimer

7.1 Except as expressly stated in a written warranty or in our policies, the Site and everything made available through it are provided "as is" and "as available," and your use of the Site is at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. This does not affect any express warranty we provide with a specific product or service.

7.2 We assume no responsibility for any damage to, or viruses that may infect, your device or property as a result of your use of the Site.

7.3 We use reasonable efforts to keep the Site accurate and current, but the Site Content may contain technical inaccuracies or typographical errors. We reserve the right to make changes and corrections at any time without notice.

8. Links to other websites

8.1 The Site may contain links to third-party websites that we do not control or endorse. We are not responsible for their content, and your use of them is at your own risk. Different terms and privacy policies will apply to those sites.

8.2 Framing of the Site, and in-line linking or incorporating parts of the Site into other sites, is not permitted.

9. Service access

9.1 We aim to keep the Site available at all times but are not liable if it is unavailable at any time or for any period. Access may be suspended temporarily and without notice due to system failure, maintenance, repairs, or reasons beyond our control. This does not affect your ability to reach us at our showroom or by phone.

10. Limitation of liability

10.1 To the fullest extent permitted by law, and except for damage caused by our willful misconduct or gross negligence, Kohinoor Diamonds and its owners, employees, and agents will not be liable for any indirect, incidental, special, or consequential loss or damage — including loss of income, profits, goodwill, or data — arising from your use of, or inability to use, the Site or its content. Our total liability in connection with the Site will not exceed the amount you paid, if any, for use of the Site during the preceding year, and if no such amount applies, will not exceed one hundred dollars ($100). Nothing in these Terms limits your rights in connection with a product you purchase, which are governed by our product warranties and Refund & Return Policy and by applicable law. Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

11.1 You agree to indemnify and hold harmless Kohinoor Diamonds and its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your User Content, your violation of these Terms, or your violation of any law or the rights of any third party.

12. Complaint procedures

12.1 If you believe any content on the Site infringes your intellectual property or other rights, please email us at sales@kohinoordiamonds.com with: (a) your name and company, if any; (b) your contact information, including email; (c) a description of your complaint, the specific rights involved, and the content at issue; and (d) a statement that the information in your notice is accurate and that you have the authority to make the complaint.

13. Governing law and dispute resolution

13.1 These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules.

13.2 Any dispute arising out of these Terms, the Site, or your purchases will be resolved in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts. [If you prefer binding arbitration instead of court, ask your attorney to draft an arbitration clause suited to your business; I've kept a simpler courts-based clause here.]

14. Miscellaneous

14.1 Kohinoor Diamonds operates its showroom and this Site from Houston, Texas, U.S.A. We make no representation that the Site or its content is appropriate or available for use in other locations.

14.2 Our failure to enforce any provision of these Terms is not a waiver of that provision. Section titles are for convenience only. If any provision is found invalid or unenforceable, the remaining provisions will remain in full effect.
